Important Legal Notice
These Terms contain an arbitration clause and class action waiver (Section 14). By using Joyst, you agree to resolve disputes through binding arbitration instead of court litigation.
1. Acceptance of Terms
By accessing or using Joyst ("Platform", "Services", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
Modification: We may modify these Terms from time to time. Material changes will be communicated through reasonable notice mechanisms such as product notice or email.
2. Eligibility
You must meet the following requirements to use Joyst:
- Age: At least 18 years old
- Legal Capacity: Able to enter legally binding contracts
- Compliance: Not restricted by applicable law
- Account Limit: One account per person unless otherwise authorized
3. Account Registration & Security
To use certain features, you must create an account.
- Accurate Information: Provide current, complete, and accurate account details
- Credential Security: Protect login credentials and MFA factors
- Responsibility: You are responsible for activity under your account
- Unauthorized Use: Notify us immediately if you suspect compromise
4. Description of Services
Joyst is an AI-powered transaction operations platform for licensed real estate teams and approved partners.
- Transaction Command Center: Milestones, collaboration, and workflow orchestration
- AI Workflow Automation: Document assembly, reminders, and exception routing
- Compliance & Disclosure Support: State-aware templates, checklists, and audit events
- Partner Integrations: CRM, document, escrow/title, and webhook/API connectivity
- Security Controls: Role-based access and workflow guardrails for sensitive handoffs
Not Provided: Joyst does not act as a licensed real estate broker, law firm, tax advisor, or escrow/title company unless explicitly stated in a signed agreement.
5. Fees and Payment
5.1 Enterprise and Team Fees
Fees are defined in your order form, master services agreement, or pilot agreement and may include platform, implementation, support, and per-transaction operations fees.
5.2 Payment Terms
Invoices and payment timing are governed by your signed commercial terms.
5.3 Third-Party Fees
Third-party fees (for example escrow, title, payment processing, legal review, or media services) are handled by the respective provider unless expressly included in contract.
5.4 Refunds
Refund terms, if any, are set in your signed commercial agreement.
6. Real Estate Transaction Responsibilities
6.1 Professional Responsibility
Licensed brokers, agents, and their organizations remain responsible for regulated activities, representation duties, disclosures, and legal compliance in each transaction.
6.2 Compliance and Advice
Joyst provides workflow tools and information support. Nothing on the platform constitutes legal, tax, financial, or brokerage advice.
6.3 Escrow and Closing
Escrow/title services are provided by licensed partners. Joyst may route data and events but does not replace regulated escrow/title obligations unless contractually specified.
6.4 Data Accuracy
You are responsible for the accuracy and completeness of data and documents submitted through the platform.
7. Prohibited Conduct
You may not:
- Submit fraudulent or misleading transaction data
- Use the platform for unlawful discrimination or harassment
- Bypass required workflows for sensitive transaction actions
- Attempt to scrape, exploit, or disrupt platform operations
- Use the platform for money laundering or other illegal activity
8. User Content
You retain ownership of content uploaded to Joyst. You grant us a limited license to host, process, and transmit content to provide and improve the Services.
You represent that you have rights to submit the content and that it complies with applicable law and contract obligations.
9. Disclaimers & Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Joyst disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
TO THE EXTENT PERMITTED BY LAW, JOYST IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
Direct liability, if any, is limited to the amounts paid under the applicable agreement in the 12 months preceding the claim, unless the signed agreement provides otherwise.
11. Indemnification
You agree to indemnify and hold harmless Joyst and its affiliates from claims and expenses arising out of your use of the Services, your content, or violation of these Terms or applicable laws.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for material breach, security risk, unlawful activity, or nonpayment under applicable contract terms.
13. Intellectual Property
Joyst and its licensors own rights to the Services, including software, branding, and platform content not submitted by users.
You may not reverse engineer or create derivative works from the Services except where explicitly permitted by law.
14. Arbitration & Dispute Resolution
BY USING JOYST, YOU AGREE TO BINDING ARBITRATION AND CLASS ACTION WAIVER EXCEPT WHERE PROHIBITED BY LAW.
Disputes will be resolved under applicable arbitration rules, except for claims eligible for small claims court.
Governing law and venue defaults to California unless your signed agreement provides otherwise.
15. General Provisions
These Terms, together with applicable order forms and policies, constitute the entire agreement between you and Joyst regarding the Services.
